Terms of Service

1. Acceptance of Terms

Welcome to MarketSpace USA. These Terms of Service ("Terms") govern your access to and use of the MarketSpace USA website and related services (collectively, the "Platform"), operated by MarketSpace USA ("MarketSpace," "we," "us," or "our"). By creating an account, browsing vehicle listings, or using MarketSpace Concierge, financing referral, warranty referral, or delivery-coordination features, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Platform.

2. What MarketSpace USA Is (and Isn't)

MarketSpace USA is an online marketplace and referral platform. We help you search, compare, and negotiate for vehicles listed by independent, third-party dealerships, and we can connect you with third-party lenders, warranty providers, and delivery/logistics companies. We are not a car dealer — we do not own, hold title to, or sell any vehicle listed on the Platform, and we are not a party to the sale between you and the dealership. We are not a lender and do not underwrite loans or set financing terms. We are not an insurer or vehicle service contract administrator.

3. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to create a MarketSpace account. You agree to provide accurate information, keep your login credentials confidential, and notify us promptly of any unauthorized use of your account. You're responsible for all activity under your account.

4. Vehicle Listings

Vehicle listings are sourced from independent third-party dealerships and third-party data providers and are shown to you "as is." While we work to display accurate information, we do not independently inspect, verify, or guarantee the accuracy of any listing — including price, mileage, condition, title status, options, photos, or availability. Always confirm details directly with the selling dealership before completing a purchase. The dealership, not MarketSpace, is responsible for the vehicle's condition, title, and final pricing at time of sale.

5. MarketSpace Concierge Service

MarketSpace Concierge is an optional paid service. For a flat fee (currently $49, subject to change), MarketSpace will submit your target vehicle and price to up to three (3) participating dealerships, negotiate price and standard terms on your behalf, and relay every offer back to you for your review and final decision.

By purchasing MarketSpace Concierge, you grant MarketSpace a limited, revocable authorization to contact dealerships and negotiate on your behalf for the vehicle search associated with your account, as described in Section 5.1 below. This authorization is not a Power of Attorney: it does not permit MarketSpace to sign any purchase agreement, financing document, title, or registration paperwork on your behalf, commit you to a purchase, or use your payment method without your explicit confirmation. Only you can accept an offer and complete a purchase. This authorization applies only to your active vehicle search, automatically ends when that search closes, your purchase is completed, or after 30 days (whichever comes first), and may be revoked at any time in your account settings or by contacting Concierge support.

5.1 Limited Negotiation & Bid Authorization

As part of the MarketSpace Concierge service, you authorize MarketSpace USA to contact and negotiate with up to three (3) dealerships on your behalf regarding the specific vehicle(s) you select through your account, including sharing your target price and preferences, requesting competitive quotes, and negotiating price and standard terms. This authorization is limited and revocable: it does not permit MarketSpace to sign any purchase agreement, financing document, title, or registration paperwork on your behalf, to commit you to a purchase, or to use your payment method without your explicit confirmation. This is not a Power of Attorney.

6. Financing Referrals

MarketSpace may let you request financing through third-party lenders and lending marketplaces (for example, LendingTree or AutoFi). If you choose to do so, you'll interact directly with that lender or marketplace, subject to its own terms and privacy policy. MarketSpace does not make credit decisions and does not guarantee approval, rates, or terms, and is not a party to any loan agreement. MarketSpace may receive a referral, origination, or advertising fee from lending partners when you use their services; this does not increase the cost of your loan.

7. Extended Warranty / Vehicle Service Contract Referrals

MarketSpace may connect you with third-party vehicle service contract ("extended warranty") providers. Any contract you purchase is between you and that provider, under its own terms. MarketSpace does not administer claims and may receive a referral fee for the connection.

8. Vehicle Delivery

Where available, MarketSpace coordinates vehicle delivery through independent third-party logistics providers. The delivery cost is arranged and paid by the selling dealership and will appear as an itemized line on the dealership's bill of sale, shown to you at checkout for transparency. MarketSpace does not mark up delivery costs and is not the carrier.

9. Fees & Payments

Fees you pay directly to MarketSpace (such as the Concierge fee) are processed securely through our payment processor, Stripe. The vehicle purchase price, taxes, title/registration fees, and any dealer-arranged costs (such as delivery) are owed to and paid directly to the selling dealership — not to MarketSpace — unless otherwise stated at checkout.

10. User Conduct

Provide accurate information and don't impersonate any person or entity
Don't use the Platform for any unlawful purpose
Don't interfere with or attempt to disrupt the Platform's operation or security
Don't scrape, harvest, or resell listing data without our written permission

11. Intellectual Property

The Platform — including its design, text, graphics, logos (including the MarketSpace SmartMatch mark), and software — is owned by MarketSpace USA or its licensors and protected by intellectual property law. You may not copy, modify, or distribute any part of the Platform without our prior written consent.

12. Disclaimers

THE PLATFORM AND ALL LISTINGS, REFERRALS, AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MARKETSPACE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY VEHICLE LISTING, DEALER, LENDER, WARRANTY PROVIDER, OR LOGISTICS PROVIDER.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARKETSPACE USA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION WITH A THIRD-PARTY DEALER, LENDER, WARRANTY PROVIDER, OR LOGISTICS PROVIDER. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO MARKETSPACE (E.G., THE CONCIERGE FEE) IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

14. Indemnification

You agree to indemnify and hold MarketSpace USA harmless from claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Platform, or your transaction with a third-party dealer, lender, warranty provider, or logistics provider.

15. Dispute Resolution & Arbitration

Please read this section carefully — it affects your legal rights. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, seated in the State of Delaware, and you and MarketSpace each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to kasper.mingo22@gmail.com. Where mandatory arbitration or class-action waivers are restricted or unenforceable for consumer claims under applicable state law, this section will be enforced only to the extent permitted by that law.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or an in-app notice) before they take effect. Continued use of the Platform after changes take effect means you accept the updated Terms.

18. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may close your account at any time in your account settings.

19. Privacy

Our collection and use of your information is described in our Privacy Policy, which is incorporated into these Terms by reference.
